Terms of Service
Last updated: October 2026
These Terms of Service (“Terms”) govern your access to and use of the Notaly website, API and related services (“the Service”) operated by Notaly (“we”, “us”, “our”), the operator of getnotaly.com. By creating an account, obtaining an API key or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

1. What Notaly is — and is not
Notaly is a technical intermediary for issuing and tracking e-invoices. The Service receives invoice data through an API, generates a structured invoice (currently FA(3) XML for Poland’s KSeF system), validates it against the applicable schema, submits it to the government system and returns the status.
Notaly is not an accounting, tax or legal service provider. We do not determine, calculate, review or remit taxes on your behalf, and we do not provide tax, accounting or legal advice. You are responsible for your own tax position and should use a qualified accountant or tax advisor where required.
2. The Service
- The Service is provided on a self-service basis through the Notaly API, currently targeting Poland’s KSeF e-invoicing system, with additional markets planned.
- As of the Last updated date above, the KSeF integration operates in the official KSeF TEST environment. Production availability will be announced separately and may require additional onboarding, authorization and compliance steps.
- Notaly validates the structure of invoice data against the applicable schema (such as the official FA(3) XSD). Validation does not assess the tax substance, correctness or completeness of the invoice content.
- Acceptance of a submission by Notaly does not guarantee acceptance by KSeF or any tax authority, and does not constitute confirmation that the invoice is legally or fiscally compliant.
3. Accounts and API keys
- You must provide accurate, current and complete information when creating an account.
- You are responsible for safeguarding your credentials, API keys and any certificates or tokens used with the Service, and for all activity that occurs under your account.
- You must notify us immediately at hello@getnotaly.com if you believe your credentials have been compromised.
- Notaly may suspend or terminate access if we reasonably believe there is unauthorized use, abuse or a breach of these Terms.
4. Your responsibilities
You are solely responsible for:
- the accuracy, completeness and legality of all data you submit to the Service, including tax identification numbers (e.g. NIP), amounts, tax rates, dates and counterparty details;
- determining and remitting any taxes applicable to your invoices and your business;
- obtaining and maintaining all authorizations, consents and powers required to issue the invoices you submit (including, where applicable, authority to submit invoices to KSeF on behalf of a taxpayer); and
- retaining your own accounting and tax records as required by applicable law.
You represent and warrant that you have the right and authority to submit the invoice data you provide, and that your use of the Service complies with all applicable laws and regulations.
5. Acceptable use
You must not (and must not attempt to):
- use the Service to issue fraudulent, false or misleading invoices;
- submit data or use the Service for any unlawful purpose, including fraud, money laundering or tax evasion;
- reverse engineer, decompile or attempt to extract the source code of the Service (except to the extent expressly permitted by law);
- interfere with or disrupt the Service, its infrastructure or other users;
- resell, sublicense or provide the Service to third parties other than through your own internal business use, unless separately agreed in writing; or
- access or use the Service in a way designed to circumvent usage limits, billing or security controls.
6. Fees, billing and taxes — Paddle as Merchant of Record
- Paid plans are billed through Paddle, which acts as the Merchant of Record for your purchase. Paddle processes payments, issues invoices for the purchase, collects applicable taxes and handles refunds for eligible requests.
- You agree to pay the fees for the plan you select, as displayed at the time of purchase. Fees are charged in advance for the subscription period.
- The prices displayed on the site are shown without prejudice to taxes handled by Paddle as Merchant of Record. Where VAT applies, it will be shown and collected by Paddle at checkout.
- For refunds, see the Refund Policy.
7. Third-party services
The Service depends on third-party systems and providers, including KSeF (operated by Poland’s Ministry of Finance) and, where applicable, Peppol access point partners and payment providers such as Paddle.
- Notaly is not responsible for the availability, performance or accuracy of third-party systems.
- Access to third-party services may be subject to their own terms. By using the Service you may be required to comply with applicable requirements of those third parties.
- Notaly does not operate as a Peppol Access Point; where Peppol delivery is offered, it is provided through certified partner(s).
8. Intellectual property
- Notaly owns all rights, title and interest in the Service, including software, documentation, branding and content, except for data and content you submit.
- Subject to these Terms, Notaly grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes.
- You retain ownership of the invoice data you submit. You grant Notaly the right to process that data as necessary to provide the Service and to comply with applicable law.
9. Availability and force majeure
- The Service is provided on an “as is” and “as available” basis. Notaly does not guarantee uninterrupted, error-free or timely availability of the Service, webhooks or status updates.
- Notaly is not liable for failures or delays caused by circumstances beyond its reasonable control, including outages of KSeF or other government systems, third-party failures, internet outages, or force majeure events.
10. No warranty
To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will meet your requirements or that submissions will be accepted by KSeF or any tax authority.
11. Limitation of liability
- To the maximum extent permitted by applicable law, Notaly’s total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the fees you actually paid to Notaly in the six (6) months immediately preceding the event giving rise to the claim.
- To the maximum extent permitted by applicable law, Notaly shall not be liable for any indirect, incidental, special, consequential or punitive damages, nor for lost profits, loss of revenue, loss of data, loss of goodwill, or tax fines, penalties or assessments, even if advised of the possibility of such damages.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or willful misconduct, death or personal injury, or any mandatory liability under consumer protection law.
- You acknowledge that the fees reflect the allocation of risk in these Terms, and that these limitations are a material basis of the agreement.
12. Indemnification
You agree to indemnify, defend and hold harmless Notaly and its officers, employees and agents from and against any claims, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to:
- incorrect, incomplete or unlawful data you submit to the Service;
- your breach of these Terms or violation of applicable law; or
- your misuse of the Service.
13. Term, suspension and termination
- These Terms apply for as long as you use the Service.
- You may stop using the Service at any time. Cancellation of a paid subscription is handled through Paddle and stops future charges at the end of the current billing period (see the Refund Policy).
- Notaly may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if we reasonably determine that your use poses a risk to Notaly, other users or third parties.
14. Changes to the Service and these Terms
- Notaly may modify the Service from time to time, including adding, changing or removing features.
- Notaly may update these Terms. Material changes will be communicated in advance through the Service or by email. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes.
15. Governing law, jurisdiction and disputes
- These Terms are governed by the laws of the jurisdiction in which the Notaly entity contracting with you is established, without regard to conflict-of-laws principles.
- Disputes will be subject to the non-exclusive jurisdiction of the courts of that jurisdiction.
- Nothing in these Terms limits any mandatory rights you may have as a consumer under the law of your country of residence.
- Before bringing a formal claim, the parties agree to attempt to resolve the dispute informally by contacting the other party at hello@getnotaly.com.
